Welcome to VEERHA, an AI-powered business automation and virtual employee platform operated by Catabatic Technology Private Limited ("Catabatic", "VEERHA", "we", "us", or "our").

These Terms & Conditions ("Terms") govern your access to and use of the VEERHA website, platform, software, applications, AI services, integrations and related services (collectively, the "Services").

By registering for, accessing, purchasing, subscribing to, or using VEERHA, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, please do not use the Services.

  1. 1. About VEERHA

    VEERHA is an AI-powered business assistance and automation platform designed to help businesses manage leads, customer interactions, sales, marketing, support, operations and other business activities.

    Depending on the plan and services purchased, VEERHA may provide features including:

    • CRM and lead management
    • AI-powered lead qualification
    • AI calling and customer communication
    • WhatsApp integration
    • Marketing assistance
    • Customer support automation
    • Sales assistance
    • Business process automation
    • AI-generated content and responses
    • Reporting and analytics
    • Integrations with third-party services
    • Other AI-powered business tools introduced from time to time

    Features available to you depend on your selected plan, subscription, usage limits and applicable add-ons.

  2. 2. Eligibility

    You must be legally capable of entering into a binding agreement under applicable law to use VEERHA.

    If you are using VEERHA on behalf of a company, partnership, proprietorship, LLP, society or other organization, you represent that you have the authority to accept these Terms on behalf of that organization.

  3. 3. Account Registration

    Certain features require you to create an account.

    You agree to:

    • Provide accurate and complete information.
    • Keep your account information current.
    • Maintain the confidentiality of your login credentials.
    • Not share your account credentials with unauthorized persons.
    • Notify us promptly of unauthorized access or suspected security breaches.

    You are responsible for activities carried out through your account.

    VEERHA may suspend or restrict an account where we reasonably believe that the account is being misused, used fraudulently, or used in violation of these Terms or applicable law.

  4. 4. Subscription and Plans

    VEERHA may offer different subscription plans, usage limits, credits, add-ons and pricing structures.

    The features, limits and pricing applicable to your account will be those displayed at the time of purchase or otherwise communicated to you.

    Unless expressly stated otherwise:

    • Subscription fees are payable in advance.
    • Subscription periods begin from the date of activation.
    • Subscription fees are exclusive of applicable taxes unless specifically stated otherwise.
    • Usage limits, AI credits, messaging limits, storage limits or other quotas may apply depending on your plan.
    • Unused credits or allowances generally do not carry forward unless expressly stated.

    VEERHA reserves the right to introduce new plans, modify existing plans or change pricing prospectively.

    Any applicable price changes for an active subscription will be communicated before they become applicable to the next billing period.

  5. 5. Free Trials, Offers and Promotions

    VEERHA may provide free trials, promotional pricing, credits, discounts or special offers.

    Such offers may be subject to separate eligibility conditions.

    Unless otherwise stated:

    • Promotional offers cannot be exchanged for cash.
    • Promotional credits have no cash value.
    • One customer may not create multiple accounts to misuse promotional offers.
    • VEERHA may discontinue or withdraw an offer where misuse, fraud or violation of applicable terms is identified.

  6. 6. Payment

    Payments for VEERHA subscriptions and services may be processed through third-party payment service providers, including Razorpay.

    When making a payment:

    • You authorize the applicable payment service provider to process the transaction.
    • You must provide accurate billing and payment information.
    • Payment confirmation may be subject to successful authorization by your bank or payment provider.
    • VEERHA is not responsible for failures caused by your bank, card issuer, UPI provider or payment service provider.

    Your use of the payment service may also be subject to the terms and privacy policies of the applicable payment service provider.

    Razorpay's current payment terms require merchants to maintain and display appropriate terms of use and refund/cancellation information on their customer-facing website.

  7. 7. Refund and Cancellation Policy

    VEERHA provides subscription-based digital software and AI services.

    Unless specifically stated otherwise for a particular plan or offer:

    Subscription Cancellation

    You may request cancellation of your subscription.

    Cancellation will normally prevent renewal for the next subscription period. The current subscription may remain active until the end of the already-paid subscription period.

    Refunds

    Subscription fees are generally non-refundable once the subscription has been activated or the service has been made available, except where:

    • VEERHA has charged you incorrectly;
    • the purchased service was not activated due to an issue attributable to VEERHA;
    • a refund is specifically promised under a promotional offer; or
    • a refund is required under applicable law.

    Refund requests may be reviewed individually.

    Where a refund is approved, it will generally be processed to the original payment method used for the transaction.

    Processing time may depend on the payment gateway, bank or payment service provider.

    Third-party payment processing charges, where applicable and non-recoverable, may be deducted from an approved refund where legally permissible.

  8. 8. Third-Party Services and Integrations

    VEERHA may integrate with third-party services including, but not limited to:

    • WhatsApp or Meta services
    • Payment gateways
    • Telephony and calling providers
    • Email providers
    • AI and technology providers
    • Flight, hotel and travel APIs
    • CRM and business applications
    • Other third-party platforms

    Your use of third-party services may be subject to the third party's own terms, policies, charges and availability.

    VEERHA does not guarantee uninterrupted availability of third-party services.

    Changes, suspension or discontinuation of a third-party service may affect corresponding VEERHA functionality.

  9. 9. AI-Generated Output

    VEERHA uses artificial intelligence to generate or assist with content, recommendations, responses, classifications, summaries, communications and other outputs.

    AI-generated information may occasionally be inaccurate, incomplete, outdated or inappropriate.

    You are responsible for reviewing AI-generated outputs before relying on them for:

    • Customer communication
    • Commercial decisions
    • Financial decisions
    • Legal or regulatory matters
    • Pricing
    • Contractual commitments
    • Business decisions
    • Any other consequential activity

    VEERHA does not guarantee that AI-generated output will always be accurate or suitable for your particular business requirements.

    VEERHA should be treated as a business assistance and automation tool and not as a substitute for professional legal, financial, tax or other professional advice.

  10. 10. Customer Data

    You may provide VEERHA with information relating to your customers, prospects, employees, suppliers or other individuals ("Customer Data").

    You retain ownership of Customer Data submitted by you.

    You represent and warrant that you have the necessary rights, permissions and consents to collect, use and process such information and to provide it to VEERHA for the purpose of providing the Services.

    You are responsible for ensuring that your use of Customer Data complies with applicable privacy and data protection laws.

    VEERHA may process Customer Data to provide, maintain, secure and improve the Services, subject to applicable law and our Privacy Policy.

  11. 11. Payment Information

    VEERHA does not intend to store complete card numbers, CVV information or other sensitive payment credentials on its own systems where such information is processed by the payment gateway.

    Payment information may be collected and processed directly by the applicable payment service provider.

    You should review the payment provider's applicable privacy policy and terms for information regarding its processing of payment information.

  12. 12. Acceptable Use

    You agree not to use VEERHA to:

    • Violate any applicable law or regulation.
    • Commit fraud or facilitate fraudulent activity.
    • Send unlawful, deceptive, abusive or misleading communications.
    • Impersonate another person or organization.
    • Attempt unauthorized access to VEERHA or another user's account.
    • Introduce malware, viruses or harmful code.
    • Circumvent security or usage restrictions.
    • Abuse AI, calling, WhatsApp, messaging or other communication facilities.
    • Send spam or unsolicited communications in violation of applicable law.
    • Use the platform for prohibited or unlawful products or services.
    • Reverse engineer or attempt to extract source code from the platform except where permitted by law.
    • Resell or sublicense VEERHA without our written authorization.

    We may suspend or terminate accounts involved in serious or repeated violations.

  13. 13. Intellectual Property

    VEERHA, its software, platform, user interface, designs, trademarks, logos, documentation, workflows, technology and underlying intellectual property are owned by or licensed to Catabatic Technology Private Limited.

    Except for the limited right to use VEERHA during your subscription, no ownership rights are transferred to you.

    You may not copy, reproduce, modify, distribute, sell, lease, sublicense or commercially exploit VEERHA or its underlying technology without our written permission.

  14. 14. Your Content

    You retain ownership of content and business information submitted to VEERHA.

    You grant VEERHA a limited, non-exclusive right to process such content solely as reasonably necessary to provide the Services, maintain the platform, provide support, maintain security and comply with applicable law.

    We will not claim ownership of your business data merely because you use VEERHA.

  15. 15. Service Availability

    We will make reasonable efforts to keep VEERHA available and operational.

    However, the Services may occasionally be unavailable because of:

    • Scheduled maintenance
    • Emergency maintenance
    • Infrastructure failures
    • Internet or telecommunications failures
    • Third-party service outages
    • Security incidents
    • Government or regulatory actions
    • Events beyond our reasonable control

    We do not guarantee uninterrupted or error-free operation.

  16. 16. Modifications to Services

    VEERHA may add, modify, suspend or discontinue features from time to time.

    Where a material change significantly affects a paid service, we may provide reasonable notice where practical.

    Certain features may depend upon third-party technologies and may therefore change or become unavailable if the third-party provider changes its service.

  17. 17. Confidentiality

    Each party agrees to protect confidential information received from the other party and to use such information only for legitimate purposes connected with the Services or business relationship.

    This obligation does not apply to information that:

    • Is publicly available without breach;
    • Was already lawfully known;
    • Is independently developed; or
    • Must be disclosed by law or regulatory authority.

  18. 18. Limitation of Liability

    To the maximum extent permitted by applicable law, VEERHA and Catabatic Technology Private Limited shall not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from use of the Services.

    VEERHA's aggregate liability in relation to a paid subscription shall, to the extent permitted by law, be limited to the subscription fees actually paid by the customer for the applicable service during the three months immediately preceding the event giving rise to the claim.

    Nothing in these Terms excludes liability that cannot legally be excluded.

  19. 19. Indemnification

    You agree to indemnify and hold harmless Catabatic Technology Private Limited, its directors, employees and representatives against claims, losses, liabilities, damages and expenses arising from:

    • Your unlawful use of VEERHA;
    • Your violation of these Terms;
    • Your violation of third-party rights;
    • Your Customer Data or content;
    • Your communications with your customers;
    • Your violation of applicable laws or regulations.

  20. 20. Suspension and Termination

    We may suspend or terminate access to VEERHA where:

    • You materially breach these Terms;
    • Payment obligations remain unpaid;
    • Your account is involved in fraud or abuse;
    • Your use creates a security or legal risk;
    • Required by law or a regulatory authority;
    • A third-party service necessary for the account is discontinued; or
    • Continued access could reasonably cause harm to VEERHA or others.

    Upon termination, your right to use the Services will cease.

    Where legally and technically feasible, we may provide a reasonable period for you to export available data.

  21. 21. Data Retention

    Following termination, VEERHA may retain certain information for legitimate business, legal, accounting, security, fraud-prevention or regulatory purposes.

    Data may be deleted or anonymized after applicable retention periods, subject to our Privacy Policy and applicable law.

  22. 22. Governing Law and Jurisdiction

    These Terms shall be governed by the laws of India.

    Subject to applicable law, courts having jurisdiction over Delhi (India) shall have jurisdiction over disputes arising from these Terms.

  23. 23. Changes to These Terms

    We may update these Terms from time to time.

    The updated version will be published on the VEERHA website with the revised effective date.

    Your continued use of VEERHA after the updated Terms become effective constitutes acceptance of the revised Terms.

  25. 25. Acceptance

    By creating an account, purchasing a subscription, making a payment or using VEERHA, you confirm that you have read and accepted these Terms & Conditions.
